Pricing is GST exclusive.

Onsite vaccination has a minimum of 5 vaccinations. Unless otherwise agreed upon by Baseline medicals.

A first aider must be present when vaccinations are taking place, Baseline Medicals can assist with this requirement, a first aider can be provided for $51 per hour.

Where the service is provided at the Customer’s premises, a suitable room/location should be provided to perform the Occupational Health service. The room would need to be private, clean, and quiet (hearing tests). When this is not an option on the Customer’s premises, an alternate location for health monitoring should be considered. Note: Baseline Medicals does have a mobile clinic (Auckland, Northland, Hamilton and Thames/Coromandel) that can be booked in these situations.

It is the Customer’s responsibility to manage the availability of their employees and to minimise gaps between appointments. No show appointments will be charged at the full rate and an full hourly rate will incur if the daily schedule runs over the allotted contract time.

The health of our nurses is a priority. Scheduling is flexible however while onsite the Customer should be aware that pursuant to employment law the nurse is entitled breaks, these will be scheduled within the contract days.

For onsite occupational health appointments a set up and pack up time of 15 mins at the beginning and the end of the day will be chargeable.

Where possible, any consent forms must be completed prior to the appointment to assist with the flow of the day.

In engaging Baseline Medicals to provide Occupational health services, the customer agrees that they will not solicit or employ any Baseline Medicals employee or contractor to work for them directly or indirectly for the provision of Occupational Health services for a period of at least 24 months after the last time services were provided.

In requesting Baseline Medicals to perform services, the Customer accepts that many of the services requested provide are screening tests only. The accuracy of the testing can be influenced by a number of environmental factors on the day of testing, participation of the employee, and action/participation of the Customer. As such the Customer is aware that results of testing is indicative only. Where sub-optimal tests are obtained the employee will be recommended to consult with their own Medical Practitioner (or other relevant specialist) for which it is the employee’s sole responsibility to undertake.
Cancellation fees applicable to on-site work are as follows (with calculations excluding Saturday, Sunday or Public Holidays):

Less than five working days attracts a full fee. Cancellation on the day when the nurse is already onsite attracts a full fee including mileage

Where a nurse’s time has been booked for a full day (or part thereof) and only a part day was utilised, minimum time charges will be applicable.

Cancellation of a Baseline Medicals based clinic appointment with less than 24 hours’ notice attracts the full appointment fee.
Data Privacy and Consent: Baseline Medicals collects and handles personal and health information in accordance with the Privacy Act 2020. The Customer warrants that it has obtained the necessary consent from employees for the collection and sharing of their health data with Baseline Medicals for the purpose of providing occupational health services. Consent will be gained to release information back to the company only for the purposes in which it was intended to be used.
Force Majeure:
Baseline Medicals shall not be liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, labour disputes, government restrictions, or public health emergencies.
Variation
Baseline Medicals reserves the right to update or vary these terms and conditions from time to time. Any updates will be notified in writing and shall be deemed accepted by the Customer upon continued engagement of Baseline Medicals' services.
Intellectual Property
All intellectual property rights in any materials, forms, templates, or methodologies used or provided by Baseline Medicals remain the exclusive property of Baseline Medicals and must not be copied, modified, or distributed without prior written consent.
Termination
Either party may terminate this agreement with 14 days' written notice. In the event of termination, the Customer shall pay for all services rendered and expenses incurred up to the effective date of termination.
Financial Terms & Conditions: in accepting this estimate you agree:

To pay invoices before the end of the following month from the date of invoice.

Baseline Medicals shall be entitled to recover from the customer all legal and other costs arising from collection of any overdue invoices.

Interest is chargeable on overdue balances at the rate of 10 per cent for the whole of each month during which such accounts are unpaid.
Limitation of Liability

Exclusion of Fraudulent Misrepresentation
Nothing in these Terms and Conditions shall exclude or limit the liability of Baseline Medicals ("the Company") for any liability arising from fraudulent misrepresentation. -
Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable to the Customer, whether in contract, tort (including negligence), under statute, or otherwise, for any:
a) loss of profits, revenue, or business;
b) loss or corruption of data, information, or software;
c) loss of anticipated savings or business opportunity;
d) damage to reputation or goodwill; or
e) indirect, incidental, special, or consequential loss or damage of any kind,
arising from or in connection with the provision of services. -
Total Liability Cap
The total aggregate liability of the Company to the Customer for all claims arising out of or in connection with the services shall not exceed the total fees paid by the Customer to the Company under the relevant agreement. -
Indemnity
The Customer agrees to indemnify, defend, and hold harmless the Company from and against any and all losses, damages, liabilities, claims, actions, costs, and expenses (including reasonable legal fees) arising from the Customer’s breach of this agreement, negligence, or misuse of the services. -
Exceptions
Nothing in this clause shall limit or exclude the Company's liability for:
a) death or personal injury caused by gross negligence;
b) fraudulent misrepresentation; or
c) any other liability that cannot be lawfully excluded or limited under New Zealand law. -
Survival
This clause shall survive the termination or expiry of this agreement.
